Terms & Conditions
These Terms and Conditions (“Terms”) govern access to and use of Shiloh and any other software, websites, and related services made available by SAI Ministries (“SAI Ministries,” “we,” “us,” or “our”), collectively the “Services.”
By accessing or using the Services, you agree to these Terms. If you use the Services for a church, ministry, employer, or other organization, you represent that you have authority to accept these Terms on its behalf, and “you” includes that organization. A signed agreement with SAI Ministries controls if it conflicts with these Terms.
Accounts and organizational access
You must provide accurate account information, keep your sign-in credentials confidential, and promptly notify us of suspected unauthorized access. Your organization appoints its administrators and controls member access, roles, permissions, and organizational content. You are responsible for activity conducted through your account, except to the extent caused by our breach of these Terms.
Subscriptions, billing, and cancellation
- Fees. Paid Services are billed at the prices and intervals shown when you subscribe or stated in an order form. Fees do not include taxes unless expressly stated.
- Renewal. If your subscription is identified as renewing automatically, it will renew for the stated period unless canceled before the renewal date.
- Cancellation. You may cancel through available account controls or by contacting support@saiministries.com. Cancellation stops future renewals, and access ordinarily continues through the current paid term.
- Billing questions. Contact us within 30 days of a charge if you believe there was a billing error, duplicate charge, or service issue. We will review the request and may provide a correction, credit, or refund when appropriate.
Except where required by law or stated in writing, fees already paid are non-refundable.
Acceptable use
You may not use the Services to:
- Break the law, violate another person's rights, or facilitate fraud, abuse, or harassment.
- Upload malicious code or content that damages, disrupts, or interferes with the Services or another user's systems.
- Probe, scan, bypass, or defeat security or access controls, except with our prior written authorization.
- Access another account or organization without permission, or share credentials in a way that defeats assigned access controls.
- Copy, reverse engineer, resell, or commercially exploit the Services except as permitted by law or a written agreement with us.
- Use automated means that place an unreasonable load on the Services or interfere with their operation.
Your content and data
As between you and SAI Ministries, you and your organization retain ownership of information, files, photos, records, and other content submitted to the Services (“Customer Content”). You grant us a limited right to host, copy, process, transmit, and display Customer Content only as needed to provide, secure, maintain, and support the Services and to meet legal obligations.
You are responsible for ensuring that you have the rights and permissions needed to submit Customer Content and to authorize our processing of it. Our handling of personal information is described in our Privacy Policy.
Our software and intellectual property
The Services, including their software, design, documentation, branding, and underlying technology, are owned by SAI Ministries or its licensors and are protected by intellectual property laws. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the Services for your organization's internal operations during the subscription term. No other rights are granted.
If you provide feedback or suggestions, you permit us to use them without restriction or compensation, but you are not required to provide feedback.
Third-party services
The Services may link to or interoperate with third-party products, platforms, devices, or websites. Their terms and privacy practices govern your use of those third-party services. We are not responsible for third-party services that we do not control.
Service availability and changes
We work to keep the Services secure and available, but interruptions may occur for maintenance, updates, emergencies, or events outside our reasonable control. We may change, add, or remove features over time. If a change materially reduces the core functionality of a paid Service, we will provide reasonable notice when practical.
Suspension and termination
You may stop using the Services at any time. We may suspend or terminate access if fees remain unpaid, use presents a security or legal risk, or you materially breach these Terms. When reasonable, we will provide notice and an opportunity to cure the issue. We may act immediately when necessary to protect users, the Services, or others.
After termination or expiration, your right to use the Services ends. Provisions that by their nature should survive will remain in effect, including ownership, payment obligations, disclaimers, liability limits, and dispute provisions.
Disclaimers
To the fullest extent permitted by law, the Services are provided “as is” and “as available.” SAI Ministries disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from a course of dealing or usage of trade. We do not warrant that the Services will be uninterrupted, error-free, or suitable for every operational, legal, accounting, or recordkeeping requirement.
Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.
Limitation of liability
To the fullest extent permitted by law, neither SAI Ministries nor its suppliers will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, arising from or related to the Services or these Terms, even if advised that such damages were possible.
To the fullest extent permitted by law, SAI Ministries' total liability arising from or related to the Services or these Terms will not exceed the amount paid by you for the affected Services during the 12 months before the event giving rise to the claim. These limits do not apply where liability cannot be limited by law.
Changes to these Terms
We may update these Terms from time to time. We will revise the effective date above and, when changes are material, provide reasonable notice. Continuing to use the Services after updated Terms take effect means you accept the updated Terms. If you do not agree, you must stop using the Services and cancel any renewing subscription.
General terms
Neither party is responsible for delay or failure caused by events beyond its reasonable control. You may not assign these Terms without our written consent; we may assign them as part of a merger, reorganization, sale of assets, or by operation of law. If any provision is found unenforceable, the remaining provisions will stay in effect. A failure to enforce a provision is not a waiver. These Terms, our Privacy Policy, and any applicable order form or signed agreement are the entire agreement concerning the Services and replace prior discussions about their subject matter.

Please contact support@saiministries.com with questions or concerns about the Services or these Terms. Before filing a formal claim, each party agrees to make a good-faith effort to resolve the issue through direct discussion.
